Pawpular Prints Terms of Use

Welcome to Pawpular Prints! The following terms and conditions (the "Terms of Use" or "Agreement") are a binding agreement between Pawpular Prints ("Pawpular Prints," "We," "Us," or "Our"), and the Licensee (hereinafter referred to as "You" or "Your") with respect to your use of all Pawpular Prints-owned products and designs (collectively, the "Offerings"). By accessing or using Our websites, services, products, any related files, intellectual property contained with the files, and designs (herein referred to as Content), You agree to comply with the following Terms of Use. By clicking “I Agree” or using the Offerings in any way, You (A) confirm that You have read, understand, and agree to these Terms of Use, and (B) affirm that You are at least 18 years old (or the age of majority in Your jurisdiction) or have reviewed these Terms with a parent or guardian who agrees to them and takes responsibility for Your compliance. If You are under 18, You understand that You cannot later void this agreement without losing access to the Offerings, and Your parent or guardian will be responsible for Your actions and obligations. If You do not agree to these Terms or Our Privacy Policy, do not use the Offerings. You may only use the Offerings after receiving an Authorized Seller Badge, which will be provided upon acceptance of these Terms.

1. Changes to Terms of Use: We may update these Terms at Our discretion. The last update date is at the top of this page. Changes take effect 30 days after posting for current users and immediately for new users. Continued use of the Offerings after changes means You accept and agree to the changes. 

2. Ownership: The Offerings, including the Content, are owned by Pawpular Prints and protected by copyright, trademark, and other applicable laws. All trademarks, service marks, and logos are either registered or unregistered marks of Pawpular Prints. You agree that Pawpular Prints is the sole owner of the Offerings and Content, including all intellectual property rights and all derivative rights.

3. Commercial License: 

Use of the Content as described above is subject to the accompanying Terms of Use, which are incorporated herein by reference; a valid, active subscription with Pawpular Prints is required for commercial license.

Pawpular Prints hereby grants You a non-exclusive, revocable, and non-transferable license to sell physical 3D prints of the Offerings as long as You have an active subscription to Pawpular Prints on Patreon. You may not sell the Offerings themselves and can only sell physical prints created with Your own equipment. You are not allowed to modify the mesh of the Offerings without obtaining explicit written permission from Pawpular Prints. Any modifications of the Offerings remain the property of Pawpular Prints, and You assign any rights in those modifications to Pawpular Prints. 

Upon termination or suspension of a subscription, You must cease listing and selling any and all of the Offerings immediately. Pawpular Prints has the right to deny access to , and to suspend or terminate Your access to the Offerings or to any features or portions there of, at any time and for any reason, including if You violate these Terms of Use. Upon any such suspension or termination, You will continue to be bound by the Terms of Use that were in effect as of the date of Your suspension or termination and You must immediately cease listing and selling any and all of the Offerings immediately until Your access is reinstated by Pawpular Prints or your subscription is renewed. 

You shall NOT:

• Sublicense, sell, rent, lease or otherwise distribute the Offerings to any third party.
• Modify, reverse engineer, decompile, or disassemble the Offerings. 
• Use the Offerings for any unlawful purpose or in any manner that infringes any third-party rights.

4. Confidentiality: You agree to maintain the confidentiality of the Offerings and shall not disclose the Offerings to any third party without the prior written consent of Pawpular Prints. 

5. Attribution: You shall specify the model is a licensed design by Pawpular Prints and include a link to the official Pawpular Prints website where applicable in Your product listings. The Authorized Seller Badge must be displayed on all listings, online or physical. Alternatively, if more convenient, You may display the Authorized Seller Badge prominently in a single location within Your store (both virtual and physical), ensuring it is easily visible to customers.

• i.e. "3D designs licensed from Pawpular Prints [see Pawpular Prints.com for more details]" shown at the bottom of a product offering web page.

6. Responsibility and Liability: In no event shall Pawpular Prints be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement. You are solely responsible for the safety and quality of the physical 3D prints of the Offerings You sell. You may not alter the design of the Offerings and many not use the Offerings for unintended purposes. Pawpular Prints shall not be liable for any defects, injuries, or disputes arising from the use or sale of the physical 3D prints of the Offerings. You agree to handle and resolve any disputes that may occur between You and Your customers regarding the physical 3D prints of the Offerings. Pawpular Prints shall not be responsible for any such disputes.  

You agree to indemnify, defend, and hold harmless Pawpular Prints and its officers, directors, partners, members, employees, agents, attorneys, insurers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney's fees and costs, arising out of or in connection with: (a) Your use of the Offerings and any harm arising from the Offerings that You sell, (b) any breach of these Terms of Use by You, (c) any violation of applicable law by You, and (d) any allegation that Your use of the Offerings infringes any intellectual property rights of a third party.

Pawpular Prints warrants that it has the right to grant the license herein. Except as expressly provided, the Offerings are provided "as is" without warranty of any kind, whether express, implied, statutory, or otherwise.

7. General Provisions:

7.1. Entire Agreement: These Terms of Use constitute the sole and entire agreement between You and Pawpular Prints with respect to the subject matter hereof, and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. 

7.2. Waiver and Severability: Our failure to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of these Terms of Use will continue in full force and effect. 

7.3. Governing Law; Jurisdiction and Venue: These Terms of Use and any dispute or claim arising out of or related to these Terms of Use, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.  Any litigation under this Agreement shall be brought and maintained in the appropriate court(s) in Salt Lake County, Utah.  Each party irrevocably submits to the exclusive jurisdiction of these courts, agrees that these courts are a fair and reasonable forum in which to resolve disputes arising out of this Agreement, and waives any objection to the laying of the venue of any legal or equitable action brought under or in connection with the subject matter of this Agreement in such courts.
